Five Questions to Ask Before Signing an OEM Switch Agreement

OEM switch agreements are not all equivalent. The contract terms, the supplier relationship, and the technical depth behind the customization capability vary enormously between suppliers who describe themselves using the same language. These five questions separate suppliers who can actually deliver on OEM commitments from those who are rebranding catalogue products with a label change and calling it OEM.

1. Who owns the firmware roadmap, and what is your update cadence?

This is the most consequential question for long-cycle OEM products. If you are building a product line that will be in market for three to five years, the firmware it ships with at launch will need to be updated — for bug fixes, security patches, feature additions, and compatibility with evolving network environments.

Ask specifically: does the supplier maintain their own firmware development capability, or are they dependent on the chipset manufacturer’s reference firmware? What is the release cadence for firmware updates? What is the process for requesting firmware changes specific to your product?

A supplier who cannot answer these questions is not an OEM partner — they are a product reseller with your logo on it.

2. What is your EOL (end-of-life) policy for chipsets and products?

Chipset platforms have defined lifecycles. When the underlying silicon reaches end-of-life, the supplier must either migrate to a new platform or stop production. For OEM buyers, a chipset EOL event can force a complete product re-spin, including regulatory re-certification, firmware re-qualification, and supply chain transition.

Ask for the supplier’s policy in writing: how far in advance will you notify us of chipset EOL? What migration path will you support? Will you maintain production capability for existing designs for a defined period after EOL announcement?

A supplier who has never thought about this question cannot be relied upon for long-cycle product programs.

3. How deep does firmware customization actually go?

OEM firmware customization ranges from changing the login banner to rewriting the management interface, modifying CLI command structure, activating or deactivating feature sets, and altering MIB definitions. These are not equivalent capabilities.

Ask for specific examples: can you change the CLI prompt and command set? Can you disable features that should not be accessible to end users? Can you modify the SNMP MIB to expose custom OIDs? Can you change the web management interface beyond branding?

Request a demonstration on a reference platform. The answer to “yes, we support firmware customization” should include a list of specific things that have been done for other customers, not a general capability statement.

4. What is your chipset inventory position, and how do you protect long-term supply?

OEM programs typically involve volume commitments over multi-year periods. A supplier who cannot guarantee component availability across the program duration is transferring supply chain risk onto you — the OEM buyer — without disclosing it.

Ask: do you hold strategic buffer stock on the chipsets used in my product? What is your current inventory position? What happens to my production schedule if chipset allocation tightens? Do you have a secondary source for critical components?

The difference between a supplier with strategic inventory and one without it becomes visible the first time a shortage hits. By then, it is too late to change suppliers without a gap in your production.

5. What does your QC process look like before units ship?

OEM products carry your brand. Field failures are your warranty exposure and your customer relationship problem, regardless of which factory produced the hardware. Understanding the supplier’s quality control process before you sign is not optional.

Ask for the QC checklist: what tests does every unit go through before it leaves the factory? Is there incoming inspection of chipsets and key components? What is the failure rate at final test? What happens to units that fail — are they repaired and retested, or scrapped?

A supplier who cannot produce a written QC procedure does not have one. A supplier who has never been asked this question by a customer is not an OEM supplier in any meaningful sense of the term.

Using these questions

The value of asking these questions is not primarily in the answers — it is in the quality of how the supplier engages with them. A supplier who has a strategic inventory position, a firmware roadmap, and a written QC process will answer these questions specifically and confidently. A supplier who is operating as a product reseller will deflect, generalize, and change the subject.

The questions are a filter, not a checklist. Use them accordingly.
